The Terms and Conditions set out below are important and affect your rights as a Member of the Concierge Service. You must read and accept these Terms and Conditions of membership to gain entry to the Concierge Service 1. MEMBERSHIP AGREEMENT These Terms and Conditions set out the contractual relationship between the Concierge Service and each individual Member of the Concierge Service. 2. DEFINITIONS In these Terms and Conditions unless the context requires otherwise: 3. "Concierge Service" Means the Valentine Girls Concierge Service and any other related website within the Valentines associated website group. 4. "Members Area" means the Concierge Service Members Private website area; 5. "Fraud" includes fraud, dishonesty and deceit and in particular: knowingly supplying incorrect information including at the time of joining to defraud to the Concierge Service; using or attempting to use stolen or counterfeit Credit and/or Debit Cards to obtain membership and/or services; knowingly benefiting from the Fraud or Misconduct of another Member or individual; 6. "Account" means the account established by Concierge Service which enables entry to the Members area, and is unique to each individual member, and for no other individual; 7. "Loss" means losses, costs, damages, injuries, accidents or claims (whether direct or indirect) suffered by Members and/or Associates in connection with the provision of Services; 8. "Member" means the person who is a member of the Concierge Service and name appears on the Account; 9. "User Name" means the person who is a member of the Concierge Service and name that appears on their public Account; 10. "Associate" means any escort, or self employed individual associated, or represented though the Concierge Service. 11. "Membership" means membership of the Concierge Service; 12. "Misconduct" includes: • failure to comply with these Terms and Conditions or the terms and conditions of a Service Associate; or • attempting to obtain any service by Fraud; or • misusing the Services; or • misconduct of any nature whilst using the membership account; or • Misconduct in dealing with Concierge Service' staff or the staff of or any Service Associate. 13. "Processing" and "Processed" includes obtaining, using, recording and holding in electronic or any other form; 14. "Services" means the benefits, services, awards and facilities from time to time available to Members whether provided by Concierge Service, or Associates; 15. "Service offered by the Concierge Service" The service offered by the Concierge Service, is that of a Private Website Members Area only, and Nothing Else whatsoever, at any time. Any provision of these terms and conditions declared void or unenforceable by any competent authority or court shall, to the extent of such invalidity or unenforceability, be deemed severable and shall not affect the other provisions remaining which shall continue unaffected. 16. MEMBERSHIP Only Individuals who are 18 years of age or over may apply for membership. Membership is not open to Groups, or similar entities. To apply for Membership an individual must apply online and must be over the age of 18 years old. Membership is offered at the discretion of the Concierge Service and the Concierge Service may refuse Membership to any applicant, (without reason) Applicants accepted as Members will be given a Membership Account and will be provided with access to the member’s area. Multiple Memberships are not permitted and each Member must maintain only one account. In the case of duplication of Membership, all Memberships (other than the first Membership approved by Concierge Service) will be cancelled. Any fees/subscriptions paid for multiple accounts, will therefore be forfeited. Applicants will be admitted to Membership on the date they activate their Account; By activating their account, Members agree to be bound by the Terms and Conditions (as amended from time to time) and the information on the website. Members cannot transfer Membership. Correspondence will be sent to the Member's e-mail address provided on application. Concierge Service reserves the right to provide information, including changes to the Concierge Service, only to active Members. An active Member is a Member who has a current live and paid up Account. Correspondence from Members to the Concierge Service should be sent to the admin address on the website. The Concierge Service and/or Company will not be liable to/for any loss, by/from or to, either the Members and/or Associates, in relation to supplying services of the Concierge Service, and/or Company. All Members and Associates must take any and all relevant precautions to prevent loss at all times. Membership will terminate automatically if/upon; The death of a Member, the account will be deactivated and rendered null and void, The member is found to be in breach of the Terms and Conditions of Membership, The Member is found to be in breach of the Terms of the Data protection Act, as it relates to these Terms and Conditions, and the Content of the Members Area f the Concierge Service. The Concierge Service is not a members' or proprietors' club. Your subscription fees are purely for access to the member’s area only, and nothing else. Once you have entered the member’s area, we will have fulfilled our duty in supplying the service that was paid for. Any and all services/facilities offered through the Concierge Service will therefore be offered to both the escort and the Concierge Service Member totally free of charge, (until at any time there is a change of policy, and members have agreed to any change of policy). Membership subscriptions, are not, and will not, ever be classed as either, a booking fee or introduction fee. All content within the Concierge Service Members area, will be considered private and Confidential, and be covered by the data protection act. Therefore no material or any content within the members area will be allowed to be copied, transferred or reproduced anywhere, in any format, without prior written consent from the administrators of the Concierge Service. Legal enforcement, under the Data Protection Act will be taken against anyone that is in breach of the Data Protection Act in relation to such data of the Concierge Service. The entire content of the Concierge website is Fully Copyrighted, All Rights Reserved. Registering or joining the Concierge Service, does not guarantee you an appointment, with a particular Associate, at a particular time and date. All of the Associates can refuse to accept any appointment, with any individual, without reason, at any time. Please do not register for the Concierge Service for the sole purpose of making appointments, if you have been barred from making appointments by the agency in the past, as registering and joining the Concierge Service will not alter the fact that you barred from making appointments. This may also apply if you have been barred from making appointments by any other agency. (Please feel free to contact us before attempting to register, to clarify, should there be any doubt on your part). However, if you do not require the facility to make an appointment by registering for the Concierge Service, then please continue to register. Privacy, discretion and personal conduct are to be paramount throughout all access and areas of the Concierge Service, by all members, and any and all breaches will result in membership being terminated immediately, with no refund, ether in whole or part, of any subscription fees paid. 17. PROTECTION OF DATA The Data which is Processed by Concierge Service in connection with Members may include: Membership Data; Data supplied by the Member; Data collected when the Member is provided with Services; and Data collected when the Member is otherwise in contact with Concierge Service or a Service Associate. Members consent to: their Data being supplied to Service Associates, data processors, agents and staff of the Concierge Service; The processing of any sensitive data included in their Data (such as data revealing a medical condition or religious belief). The purposes for which Data may be Processed by Concierge Service or by a recipient of Data include: providing Services to Members; making changes to Services and developing new Services; providing customer service; accounting and audit, safety and security, fraud prevention and investigation; the management and administration of the Concierge Service; customer relations and assisting Concierge Service and Service Associates in future dealings with Members; customer profiling and other marketing and market research analysis; communicating to Members information about Concierge Service, including information about Concierge Service benefits, using any contact details provided; conducting market research; and Any other purpose which is obvious or is communicated to the Member. Consent to receive marketing and market research communications from time to time. Before any Data relating to a Member is disclosed to a Member by Concierge Service, the Member may be asked security questions which may require him/her to confirm his/her identity by providing information held by Concierge Service about that Member. 18. ACCOUNTS The following are the specific terms and conditions that apply to Accounts. If there is any conflict between the terms and conditions in this Clause and any other clause herein, these terms and conditions will prevail to the extent the term or condition relates to, or regulates the operation of the Account: Members can apply for an Account by completing the application process available online. A maximum of one individual is allowed per Account. To create an Account: (a) the application process on the website must be completed naming the relevant member; and (b) a member must be 18 years of age or over If the member of the Account dies the account will be cancelled Once an Account is established, the member will need to activate the account on line. Receipt of goods purchased will be deemed to have taken place and accepted as proof of delivery of all of the services purchased, as having taken place, once the Account has been activated. If purchase was by, either Credit or Debit Card, activation of the Account, will be deemed as goods received and the ability or option for chargeback, (for any reason), will hereby be seen as waived by the Member, which hereby agrees that once the Account has been activated he/she accepts that the goods/services purchased have been supplied in full. All Members also agree that upon activation of the account, they accept that there is no refund option available to them as the Account activation is deemed as goods supplied in full. 19. GENERAL Membership will be for the duration purchased, at the time of purchase, and will laps automatically, if not renewed. Receipt of goods purchased will be deemed to have taken place and accepted as proof of delivery of all of the services purchased, as having taken place, once the Account has been activated. If purchase was by, either Credit or Debit Card, activation of the Account, will be deemed as goods received and the ability or option for chargeback, (for any reason), will hereby be seen as waived by the Member, which hereby agrees that once the Account has been activated he/she accepts that the goods/services purchased have been supplied in full. All Members also agree that upon activation of the account, they accept that there is no refund option available to them as the Account activation is deemed as goods supplied in full. At no time may Members allow any other individual to access their Accounts, and doing so will be treated as a security breach and the account will be terminated forthwith. It is the Member's responsibility to ensure that their Accounts Username and Passwords remain secure and private at all times, and they also accept that any and all breaches may render them liable under the Data Protection Act, for prosecution. 20. NON TRANSFERABILITY Except as otherwise provided by Concierge Service and communicated to the Member, the Account is not transferable in any way (whether from person to person, account to account, or otherwise) and cannot be bequeathed, devised or otherwise transferred by operation of law. Any purported purchase, sale, transfer, unauthorised use (including bartering), contrary to these Terms and Conditions will constitute a fundamental breach by the Member of these Terms and Conditions. It will also constitute a breach of the contract between Concierge Service and the Member. 21. MEMBER'S RIGHT TO TERMINATE MEMBERSHIP Members may terminate their Membership if they no longer wish to be a Member. Any such termination will result in a loss of all fees/subscriptions and does not relieve the Member of any continuing obligations under these terms and conditions, especially those relating to security and discretion to all members and Associates, and their obligations, in relation to the Data Protection Act. Any member wishing to cancel their membership can do so via their personal control panel within the Concierge website, or in writting giving at least, (a minimum), of 14 days notice. Any member not giving the minimum notice of cancellation may be charged their normal subscriptions, if they are due for payment within 14 days of any notice given, to terminate their membership. Any failure of the member to not fully comply with the required termination notice period will be solely their own reaponsibility, and any payments or subscriptions that fall due will be paid in full and no 'chargebacks' and/or refunds will be allowed at any time should such a payment or subscription be made. 22. CONCIERGE SERVICE RIGHT TO TERMINATE MEMBERSHIP In addition to any other rights or remedies it may have Concierge Service reserves the right at any time in its absolute discretion to terminate the Membership of any Member and/or (if applicable) the right of any Member area access, if a Member commits Fraud, Misconduct, is given a banning. Concierge Service may in its discretion suspend such termination and/or request undertakings in respect of future conduct. In the case of Fraud and/or Misconduct, Concierge Service may inform the relevant authorities, as it sees fit to do so. The Member shall be liable to Concierge Service and/or any Associate for the full price of any service undertaken on the Concierge Service, wholly or partly as a result of such Fraud and/or Misconduct, together with any reasonable costs, including legal fees, incurred by Concierge Service and/or Associates. In the event of the termination of Membership access to the member’s area will cease immediately, and there will be no refund, either in whole or in part. 23. REFUNDS The Concierge Service will refund any member that has not received the service offered by the Concierge Service, so long as; The Member has not Entered/Logged In to the Members Area, and/or Activated their Account to the Members Area, as in doing so will be deemed as the service has been supplied in full, and therefore no refunds will be available, for any reason whatsoever. Charge backs, as relating to credit and/or debit cards, will not be available to any Member, if the Member has, Entered/Logged In to the Members Area, and/or Activated their Account to the Members Area, as in doing so will be deemed as the service has been supplied in full, and therefore no charge backs will be available, for any reason whatsoever, as the Member will have waived their right of charge back by accepting and receiving the service/goods that were purchased, and are fit for the purpose they were purchased for, by Entering or Logging into the Account that was created by them. 24. CUSTOMER SERVICE Concierge Service and its Associates are constantly trying to improve the Services it provides to its Members. Any Member with concerns or complaints should contact the Concierge Service. Concierge Service may occasionally monitor telephone calls from Members to the Concierge Service to maintain and enhance its service to Members. 25. GOVERNING LAW To the extent permissible by local law or regulation these terms and conditions shall be governed by and construed in accordance with English law. Any provision of these terms and conditions declared void or unenforceable by any competent authority or court shall, to the extent of such invalidity or unenforceability, be deemed severable and shall not affect the other provisions remaining which shall continue unaffected. If there is any conflict in meaning between the English language version of these terms and conditions and any version or translation of these terms and conditions in any other language, the English language version shall prevail. © Concierge Service
